These Terms of Use (“Terms”) govern your use of minuitmedia.com and any content made available on it (the “Site”), operated by Minuit Media (“Minuit”, “we”, “us”). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
The Site provides information about Minuit and our talent management and brand partnership services. Information on the Site is for general purposes only and does not create any agreement for representation or services. Any engagement with Minuit is governed solely by a separate written agreement signed by both parties.
2. Eligibility
You must be at least 13 years old to use the Site. If you are under 18, you may submit a creator application only with the permission of a parent or legal guardian.
3. Intellectual property
The Site and its contents, including text, graphics, video, logos, the Minuit name and wordmark, and the design and arrangement of the Site, are owned by or licensed to Minuit and are protected by copyright, trademark and other laws. You may view and print pages for your personal, non-commercial use. You may not copy, modify, distribute, sell or create derivative works from any part of the Site without our prior written permission.
Creator names, likenesses and content shown on the Site belong to the respective creators and are used with permission.
4. Submissions
When you send us an inquiry, application, brief, idea or other material (a “Submission”), you confirm that you have the right to share it. Unless we agree otherwise in writing, Submissions are not treated as confidential and do not create any obligation for Minuit to respond, sign, compensate or work with you. We often develop ideas internally or receive similar ideas from others, and nothing in these Terms limits our right to use ideas that are independently developed or publicly available.
5. Acceptable use
You agree not to:
- Use the Site in any way that breaks the law or infringes anyone’s rights.
- Impersonate any person or misrepresent your affiliation with any person, brand or creator.
- Send spam, malware or unsolicited commercial messages through our forms.
- Attempt to gain unauthorized access to the Site, scrape it in bulk, or interfere with its operation.
- Use the Minuit name or branding to suggest an endorsement or relationship that does not exist.
6. Impersonation and fraud
Minuit will only contact you from an @minuitmedia.com email address, and will never ask creators to pay a fee to be represented. If you receive a message claiming to be from Minuit that does not meet these standards, do not respond, and forward it to legal@minuitmedia.com.
7. Third party links
The Site contains links to third party websites and platforms. We do not control them and are not responsible for their content, policies or practices.
8. Disclaimers
The Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Site will be uninterrupted, error free or secure, or that any particular result will be achieved through our services.
9. Limitation of liability
To the fullest extent permitted by law, Minuit and its owners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising out of or relating to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars ($100).
10. Indemnity
You agree to indemnify and hold harmless Minuit from any claims, losses and expenses, including reasonable legal fees, arising out of your misuse of the Site or your breach of these Terms.
11. Copyright complaints
If you believe material on the Site infringes your copyright, send a notice to legal@minuitmedia.com that includes: your contact information; a description of the copyrighted work; the location of the material on the Site; a statement that you have a good faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.
12. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
13. Changes
We may update these Terms from time to time. The “Last updated” date shows when they last changed. Continued use of the Site after changes take effect means you accept the updated Terms.
